Terms of Service

Last updated: October 9, 2026

These terms govern use of the Wave Engage website and service during the limited beta.

1. Acceptance and eligibility

These terms are a contract between you and Wave Engage. They cover the Wave Engage website and the service.

By using the website or the service, you agree to these terms. If you agree for a business, you confirm that you have authority to bind that business.

The service is offered for business use. It is not offered for personal or household use.

2. The service

Wave Engage is an AI-guided platform that turns business requirements into software. You share the knowledge the work needs, answer questions, and review a plan.

Nothing is built until you approve the plan and the cost estimate. The service is in limited beta, and parts of it may change as it matures.

3. Accounts and access keys

During the limited beta, creating an account may require an access key that we provide. Keep that key, and your account credentials, private. Tell us if you believe someone else is using them.

You are responsible for activity under your account, and you decide who may use it for your business.

Signing up for updates does not create an account and does not reserve a price.

4. Your content and the software we build

You own the content you submit. You also own the software built for you through the service.

Wave Engage receives a license to host, copy, and process that content and that software only as needed to operate the service. That includes preparing questions, plans, estimates, and the build you approve.

The license lasts while we need the material to provide the service. It also covers copies kept for a legal obligation or for security backups, which are removed in the ordinary course of operating the service.

5. Acceptable use

You agree not to:

  • Break the law, or infringe someone else's rights.
  • Submit content you do not have the right to use.
  • Bypass an access control, probe the service without permission, or disrupt it.
  • Use the service to create or distribute malware.
  • Present AI output as professional advice that a person reviewed, when that review has not happened.
  • Resell access to the service without our written agreement.

6. AI-generated output

Plans, estimates, code, and other results may be produced with AI. They can be incomplete or wrong.

You are responsible for reviewing output before you rely on it or put it into use. Approving a plan or an estimate is your decision.

Wave Engage does not take ownership of your business rules by preparing a plan or code for you.

7. Fees and estimates

This page does not state prices, and it is not a fee schedule.

Before build work starts, you receive a plan and a cost estimate. That work does not start until you approve both. You pay the amounts you approve, on the terms shown with that estimate.

If you do not approve an estimate, we do not build the work it describes.

8. Confidentiality

Each party will protect the other party's non-public information and use it only to carry out these terms.

Information is not confidential if it is already public through no fault of the receiver, was already known without a duty to keep it private, was developed independently, or must be disclosed because the law requires it. When the law allows, the party that has to disclose it will give the other notice first.

9. Availability and changes

The service is in limited beta. It may be unavailable or interrupted, and we may add, change, or remove features. We do not promise a particular level of availability.

If we discontinue a material part of the service, we will say so on the website. If you have an account, we may also send that notice to the email address on the account.

10. The platform's intellectual property

Wave Engage and its licensors own the website, the platform, and the Wave Engage name and logo. These terms do not transfer that ownership to you.

Your ownership of your content, and of the software built for you, does not include the platform or the tools we use to run the service. You receive the right to use the service as these terms describe.

11. Disclaimers

The website and the service are provided as available. To the extent the law allows, we disclaim implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

AI output is not guaranteed to be accurate, complete, or suitable for a particular use. The service is not legal, financial, security, or other professional advice.

12. Limitation of liability

To the extent the law allows, neither party is liable for lost profits, lost data, or other indirect or consequential loss, even if it was told the loss was possible.

Wave Engage's total liability for a claim arising out of the service is limited to the fees you paid for the project that claim relates to.

These limits do not apply where the law does not allow them. They do not limit liability for conduct the law does not allow a contract to exclude.

13. Indemnity

You will defend Wave Engage against a claim brought by someone else that arises from your content, from the way you use software built for you, or from your breach of these terms. You will pay the damages and reasonable costs awarded on that claim, or agreed in a settlement you approve.

We will tell you about the claim and let you direct the defense. You will not settle it in a way that admits fault for us, or that places a duty on us, unless we agree.

14. Termination

You may stop using the service at any time. We may suspend or end access if you materially break these terms, if we need to protect the service or another customer, or if we end the beta.

When access ends, the sections that should continue still apply. Those include ownership, confidentiality, disclaimers, limitation of liability, indemnity, and governing law.

You may ask us to delete account information, as the privacy policy describes.

15. Governing law and disputes

These terms are governed by the laws of the jurisdiction in which Wave Engage is organized.

Disputes arising out of these terms will be decided by the courts of that jurisdiction. Either party may still ask a court for temporary relief to protect confidential information or intellectual property.

16. Changes to these terms

We may update these terms. When we do, we will change the date at the top of this page. If you have an account and a change is material, we may also email the address on the account.

If you keep using the service after an update is posted, the updated terms apply. If you do not agree to them, stop using the service.

17. Contact

Questions about these terms can be sent from the contact page.
